These Terms of Service govern your access to and use of the IPNexus platform. By using IPNexus, you agree to these terms in full. If you do not agree, do not use the platform.
1. Platform Description
IPNexus is a blockchain-based platform for tokenizing, fractionalizing, and trading non-media intellectual property assets. IPNexus does not provide legal advice, IP registration services, or investment advisory services. All platform activity is facilitated through smart contracts deployed on EVM-compatible networks.
2. Eligibility
You must be at least 18 years of age and legally authorized to enter binding contracts in your jurisdiction to use IPNexus. By accessing the platform, you represent and warrant that you meet these requirements. Certain features may be restricted based on your jurisdiction.
3. IP Ownership Verification
You represent and warrant that you are the verified rights holder of any intellectual property you submit for tokenization, or that you have explicit written authorization from the rights holder. Submitting IP you do not own or control is a material breach of these Terms and may result in immediate account termination and legal action.
4. Prohibited Content
IPNexus does not tokenize music, audio recordings, or video content. These asset types are explicitly excluded from the platform. Submissions containing prohibited content will be rejected. Repeated violations may result in account suspension.
5. Fees and Payments
Platform fees are charged as a percentage of each transaction as disclosed in the Mint & Services pricing schedule. Fees are non-refundable once a transaction has been executed on-chain. Gas fees and network costs are separate from platform fees and are the responsibility of the user.
6. Smart Contract Finality
Transactions executed on-chain through IPNexus smart contracts are final and irreversible. IPNexus cannot reverse, cancel, or modify on-chain transactions after execution. You are solely responsible for verifying all transaction details before confirmation.
7. Limitation of Liability
To the maximum extent permitted by applicable law, IPNexus and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, loss of IP value, or unauthorized access to your account.
8. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration. Nothing in these Terms limits your rights under applicable consumer protection laws in your jurisdiction.
9. Modifications
IPNexus reserves the right to modify these Terms at any time. Material changes will be communicated via the platform. Continued use of IPNexus after changes take effect constitutes acceptance of the revised Terms.
Privacy Policy

IPNexus collects and processes personal data to operate the platform, verify IP ownership, and comply with applicable regulations. This policy explains what we collect, how we use it, and your rights.
1. Data We Collect
We collect information you provide directly (name, email, wallet address, IP documentation), information generated by your use of the platform (transaction history, asset listings, communication records), and technical data (IP address, browser type, device identifiers) collected automatically.
2. How We Use Your Data
We use your data to operate and improve the platform, verify IP ownership claims, process transactions, communicate with you about your account and submissions, comply with legal obligations including KYC/AML requirements where applicable, and prevent fraud and unauthorized use.
3. On-Chain Data
Blockchain transactions are public and permanent by nature. Wallet addresses, transaction amounts, and smart contract interactions recorded on-chain are publicly visible and cannot be deleted. IPNexus does not control the public blockchain and cannot remove on-chain data.
4. Data Sharing
We do not sell your personal data. We may share data with service providers who assist in platform operations, regulatory authorities when required by law, and counterparties in transactions where disclosure is necessary to complete the transaction.
5. Data Retention
We retain personal data for as long as necessary to operate the platform and comply with legal obligations. You may request deletion of off-chain personal data subject to applicable legal requirements and our legitimate business interests.
6. Your Rights
Depending on your jurisdiction, you may have rights to access, correct, delete, or port your personal data. To exercise these rights, contact us at the address provided in the Contact section. We will respond within the timeframe required by applicable law.
7. Security
We implement industry-standard security measures to protect your data. However, no system is completely secure. You are responsible for maintaining the security of your wallet credentials and private keys. IPNexus cannot recover lost private keys or reverse unauthorized transactions.

IP Value Risk
The value of intellectual property assets is inherently uncertain and can decline to zero. Past royalty performance does not guarantee future income. IP assets may be invalidated, challenged, or rendered obsolete by technological or market changes. IPNexus makes no representations about the value or income potential of any listed asset.
Regulatory Risk
The regulatory environment for tokenized assets and blockchain-based transactions is evolving rapidly and varies by jurisdiction. Changes in law or regulation may adversely affect the value, transferability, or legality of IP tokens. You are solely responsible for compliance with applicable laws in your jurisdiction.
Smart Contract Risk
Smart contracts may contain bugs, vulnerabilities, or behave unexpectedly under certain conditions. While IPNexus conducts security reviews, no smart contract can be guaranteed to be free of defects. On-chain transactions are irreversible. You accept full responsibility for transactions you initiate.
Liquidity Risk
IP tokens may have limited liquidity. There is no guarantee that a buyer will be available when you wish to sell, or that you will be able to exit a position at a favorable price. Secondary market activity depends on platform usage and market conditions outside IPNexus's control.
Technology Risk
Blockchain networks may experience congestion, forks, outages, or other technical failures. Wallet software and hardware may malfunction. IPNexus is not responsible for losses arising from network failures, wallet issues, or third-party infrastructure problems.
No Guarantee of Returns
IPNexus does not guarantee any return on investment, royalty income, or capital preservation. All investments in tokenized IP assets carry the risk of total loss. Only participate with capital you can afford to lose entirely.
